Membership Terms and Conditions

These Membership Terms and Conditions (hereinafter referred to as "these Terms") set forth the terms of provision for the adult entertainment information listing service YOASOBI HEAVEN provided by Surprise Crew Inc. (hereinafter referred to as "the Company"), as well as the rights and obligations between the Company and individual customers using this service (hereinafter referred to as "Users"). This Service shall also include any service after such service's name or content has been changed, regardless of the reason for the change.

Article 1 (Definitions)

The terms used in these Terms shall have the meanings set forth below.
(1) "Company Website, etc." means the website and application operated by the Company whose domain is "yoasobi-heaven.com" (if, for any reason, the domain or content of the Company's website changes, the term shall include the website after such a change).
(2) "Rules, etc." means rules, agreements, memoranda, and other such provisions separately established by the Company in relation to this Service.
(3) "Prospective Registered User" means a business that wishes to enter into this Contract (as defined in Item 6 of this Article) with the Company and use this Service.
(4) "User Information" means information registered, added, or modified by Users on this Service.
(5) "Posted Information" means text, audio, music, images, and other information that Users can view on this Service.
(6) "This Contract" means the contract that is formed when Users agrees to these Terms, under which the Company grants Users permission to use this Service.
Article 2 (Application)

1. These Terms are intended to define the rights and obligations between the Company and Users regarding this Service and shall apply to all relationships between Users and the Company concerning the use of this Service.
2. If there are any Rules, etc., they shall be deemed to be included in these Terms. However, if the content of such Rules, etc., concerns matters stipulated in these Terms, the Rules, etc., shall take precedence over these Terms.
Article 3 (Registration)

1. A Prospective Registered User may apply for registration to use this Service by agreeing to comply with these Terms and by providing the Company, in the manner separately specified by the Company, with certain information separately designated by the Company (hereinafter referred to as "Registration Items").
2. Use of this Service is limited to those who are 18 years of age or older. Persons under 18 years of age may not join. In addition, high school students may not join.
3. The Company shall determine, based on its standards, whether or not to approve the registration of a Prospective Registered User who has applied for registration pursuant to Paragraph 1, and if the Company approves such registration, it shall notify the Prospective Registered User who applied. Registration of the Prospective Registered User as a User shall be deemed complete when the Company issues the notice in accordance with this paragraph.
4. At the time registration is completed as set forth in the preceding paragraph, this Contract shall be established between Users and the Company, and Users shall be able to use this Service in accordance with these Terms.
5. The Company may refuse registration or re-registration if the Prospective Registered User falls under any of the following items, and the Company shall have no obligation to disclose the reason for such refusal:
   (1) If the Prospective Registered User is under 18 years of age, is a high school student, or if the Company determines that there is a risk of such.
   (2) If all or part of the Registration Items provided to the Company are false, incorrect, or contain omissions.
   (3) If the Prospective Registered User does not actually exist or is not engaged in genuine activities.
   (4) If the Company determines that the Prospective Registered User is in violation of, or likely to be in violation of, the Act on Control and Improvement of Amusement Businesses, etc.
   (5) If the Company determines that the Prospective Registered User has, in the past, breached a contract with the Company or is a related party of such a person or entity.
   (6) If the Prospective Registered User has been subject to the measures set forth in Article 12.
   (7) If the Company otherwise determines that registration is inappropriate.
Article 4 (Changes to User Information)

If there are any changes to User Information, Users shall promptly notify the Company of such changes in the manner prescribed by the Company and submit any documents requested by the Company, thereby ensuring that User Information is always true, accurate, complete, and up-to-date.
Article 5 (User's Responsibility)

1. Users shall, at their own responsibility and expense, prepare the hardware, software, internet connection, security measures, and any other requirements necessary to use this Service.
2. Any communication charges incurred in connection with the use of this Service shall be borne by Users.
Article 6 (Fees and Payment Method)

1. This Service is, in principle, free of charge. However, if Users agree to use any related paid services, Users shall pay the usage fees displayed in the manner separately specified by the Company, using the payment method designated by the Company.
2. If Users delay payment of the usage fees, Users shall pay the Company late payment charges at an annual rate of 14.6%.
Article 7 (Management of Passwords and IDs)

1. Users shall manage and store their passwords and IDs related to this Service under their own responsibility and shall not allow any third party to use them, or lend, transfer, change the name, sell, or otherwise dispose of them.
2. Users shall be responsible for any damage resulting from inadequate management, errors in use, or use by third parties of their password or ID, and the Company shall bear no responsibility for such acts.
3. If it is found that a User's password or ID has been stolen or is being used by a third party, the User shall immediately notify the Company to that effect and comply with any instructions given by the Company.
Article 8 (Prohibited Acts)

1. In using this Service, Users shall not engage in any of the following acts:
   (1) Acts that violate any provision of these Terms.
   (2) Acts that infringe upon the intellectual property rights, portrait rights, privacy rights, good name, or other rights or interests of the Company, other Users of this Service, or other third parties (including acts that directly or indirectly cause such infringement).
   (3) Acts related to criminal conduct, acts contrary to public order and morals, acts that violate laws and regulations, or acts that violate the internal rules of any industry association to which the Company or other Users of this Service belong.
   (4) Acts of fraud or threats, defamation or damage to reputation or credibility, unjust discrimination, or slander against the Company, other Users of this Service, or other third parties.
   (5) Acts constituting unauthorized access.
   (6) Advertising, solicitation, or business activities on this Service without the Company's permission.
   (7) Acts diverting all or part of this Service or any information provided through this Service for commercial purposes beyond the originally intended use.
   (8) Acts that may interfere with the operation of this Service by the Company.
   (9) Any other acts deemed inappropriate by the Company.
2. If the Company determines that the transmission of information by Users on this Service falls under, or is likely to fall under, any of the items in the preceding paragraph, the Company may delete all or part of such information without prior notice to Users. The Company shall bear no responsibility for any damage caused to Users as a result of measures taken under this paragraph.
Article 9 (Suspension of This Service, etc.)

1. The Company may, without prior notice to Users, suspend or interrupt all or part of the use of this Service if any of the following applies:
   (1) When conducting regular or emergency inspections or maintenance work on the computer system related to this Service.
   (2) When computers, communication lines, etc., are stopped due to an accident.
   (3) When operation of this Service becomes impossible due to force majeure incidents such as fire, power outage, or natural disasters.
   (4) Regarding the use of programs or tools for automatic data updating or data collection (scraping), such acts are strictly prohibited because they can place an extremely heavy load on the system and may interfere with stable service provision. If such acts are detected, the right to use all services of City Heaven Net will be withheld without warning. Furthermore, if a serious system failure is caused (amounting to the crime of obstruction of business by damaging an electronic computer, etc.), legal action may be taken.
   (5) When the Company otherwise deems suspension or interruption necessary.
2. The Company may terminate the provision of this Service at its own convenience.
3. The Company shall bear no responsibility for any damage caused to Users as a result of measures taken by the Company under this Article.
Article 10 (Ownership of Rights)

1. All intellectual property rights related to the Company Website, etc., and this Service belong to the Company or third parties who have licensed such rights to the Company, and the permission to use this Service under these Terms does not mean the granting of any license to use the intellectual property rights of the Company or such third parties.
2. All copyrights (including the rights set forth in Articles 27 and 28 of the Copyright Act), patent rights, trademark rights, and other intellectual property rights (including the right to apply for registration, etc.) related to the Company Website, etc., and this Service belong to the Company, and Users shall not engage in any act, for any reason, that may infringe upon the Company's intellectual property rights (including but not limited to disassembly, decompilation, and reverse engineering).
Article 11 (Cancellation of Registration, etc.)

1. If a User falls under any of the following circumstances, the Company may temporarily suspend the use of the Service or cancel the User's registration without prior notice or demand:
   (1) The User violates any provision of these Terms.
   (2) It is found that the registered information contains false information.
   (3) The User has used or attempted to use the Service for purposes or by methods that may cause damage to the Company, other Users of the Service, or other third parties.
   (4) The User obstruct the operation of the Service by any means.
   (5) The User fails to fulfill any obligation owed to the Company.
   (6) The User suspends or becomes unable to make payments, or a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or other similar proceedings.
   (7) A petition is filed for seizure, provisional seizure, provisional disposition, compulsory execution, or auction.
   (8) The User is subject to proceedings due to the failure to pay taxes and/or public dues.
   (9) The User discontinues business or enters into liquidation proceedings.
   (10) The Service has not been used for more than six months.
   (11) The User fails to respond within a certain period specified by the Company to an inquiry or other communication requesting a response from the Company.
   (12) The User falls under any of the items in Article 3, Paragraph 5.
   (13) The Company otherwise deems it inappropriate to continue the User's registration as a User.
2. If any of the circumstances in the preceding paragraph apply, Users shall immediately lose the benefit of time for all obligations owed to the Company or obligations arising under contracts concluded through the Service, and must immediately pay all such obligations in full.
3. The Company shall not be liable for any damages incurred by Users as a result of actions taken by the Company under this Article.
4. If a User's registration is canceled under this Article, that User shall, in accordance with the instructions of the Company, return, dispose of, or otherwise deal with any software, manuals, or other items related to the Service that the User has received from the Company.
Article 12 (Termination)

1. Users may terminate the service usage contract for the future and delete their registration as a User by notifying the Company in a manner separately specified by the Company.
2. If the service usage contract is terminated pursuant to the preceding paragraph, the Company shall not refund any service usage fees received from Users prior to the termination.
3. If, at the time of termination by a User, the User owes any obligations to the Company, the User shall immediately lose the benefit of time for all such obligations and must pay all obligations to the Company without delay.
Article 13 (Disclaimer of Warranty and Limitation of Liability)

1. The Company makes no guarantees regarding the truthfulness, timeliness, or reliability of the posted information, and provides no warranties whatsoever regarding such information.
2. The Company shall not be liable for any damages incurred by Users in connection with interruptions, suspensions, terminations, unavailability, or changes to the Service; deletion or loss of Users' messages or information; cancellation of Users' registration; loss of data or equipment failure/damage caused by use of the Service; or any other damages related to the Service.
3. Unless it is deemed that there has been intentional misconduct or gross negligence on the part of the Company, the Company shall bear no responsibility for any disputes arising between Users and other Users of the Service or other third parties through the Company's website or the Service. If the Company is forced to respond directly to such matters, Users shall compensate the Company for all damages and expenses (including reasonable attorneys' fees) incurred.
Article 14 (Confidentiality)

1. Users shall treat as confidential and shall not disclose to any third party any non-public information disclosed by the Company in connection with the Service that the Company requires to be treated as confidential, except with the prior written consent of the Company.
2. Users shall handle, strictly and appropriately as confidential, any information about other Users of the Service obtained through the use of the Service, and shall not disclose or leak such information to any third party without the consent of the person concerned.
3. Unless otherwise specifically agreed, the Company shall have no obligation to treat information disclosed by Users in connection with the use of the Service as confidential information.
Article 15 (Handling of User Information)

1. If the User or other Users' information from the Service collected by the Company includes personal information, the handling of such personal information shall be governed by the Company's Privacy Policy stipulated separately. Users agree that the Company will handle their personal information in accordance with this Privacy Policy.
2. The Company may use and disclose, at its discretion, the information and data provided by Users as statistical information in a form that does not identify Users, and Users shall not object to this.
Article 16 (Changes to the Service)

1. The Company may, at its discretion, change the content of the Service or terminate its provision.
2. The Company shall not be liable for any damages incurred by Users as a result of measures taken by the Company under this Article.
Article 17 (Amendments to These Terms)

1. The Company may amend these Terms and related rules.
2. When the Company amends these Terms, it shall notify Users by uploading the amended Terms to the Company's website or by other means, and the notice shall clearly state the effective date of the amended Terms.
3. If the amendments to these Terms are in the general interest of Users, do not contravene the purpose of these Terms, and are reasonable in light of the necessity of the amendment, the content after amendment, and other relevant circumstances, the changes to these terms shall be considered agreed upon by Users if the User makes use of the service after the notification of the changes or does not take procedures to cancel their registration within a separately specified period set by the company.
4. If the amendments to these Terms do not meet the requirements of the preceding paragraph, they shall become effective upon obtaining Users' consent.
Article 18 (Communications and Notices)

1. Inquiries regarding the Service and other communications or notices from Users to the Company, as well as notifications regarding amendments to these Terms and other communications or notices from the Company to Users, shall be made by sending an email to the email address provided by the User to the Company or by other methods separately specified by the Company. If the Company contacts the registered contact address provided by Users, such communication or notice shall be considered valid unless the User has submitted a notice of change of contact address to the Company.
2. Communications from Users to the Company regarding the Service shall be made by methods specified by the Company.
Article 19 (Assignment of Rights, etc.)

1. Users may not, without the prior written consent of the Company, assign, transfer, set as collateral, or otherwise dispose of their status under this contract, their rights or obligations under these Terms, or their rights or obligations under contracts concluded through the Service, to any third party.
2. If the Company transfers the business related to the Service to another company, it may transfer its status under this contract, the rights and obligations under these Terms, and User Information to the transferee of such business, and Users shall be deemed to have given prior consent to such transfer under this paragraph. Such business transfers include not only ordinary business transfers but also company break ups and any other cases in which the business is transferred.
Article 20 (Damages)

If the Company or a User breaches these Terms and causes damage to the other party, except where exempted under these Terms, the breaching party shall be liable to compensate the other party for direct and actual damages. However, the amount of compensation payable by the Company to Users shall be limited to the amount equivalent to the service usage fees actually paid by the User to the Company during the one-month period immediately preceding the date on which the cause arose.
Article 21 (Exclusion of Antisocial Forces [Organized Crime])

1. The Company and Users each represent and warrant that neither they nor their agents or intermediaries are currently a crime group, a member of such a group, an entity that has been a member of such a group within the last five years, a quasi-member of such a group, a company affiliated with such a group, a corporate racketeer or similar, a political racketeer, member of a criminal organization specializing in intellectual crimes etc., or any other similar entity (hereinafter collectively referred to as "Anti-Social Forces"). They also mutually confirm that they do not and will not in the future fall under any of the following:
   (1) Having a relationship in which Anti-Social Forces are recognized as controlling management.
   (2) Having a relationship in which Anti-Social Forces are deemed to be substantially involved in management.
   (3) Having a relationship that is deemed to be inappropriately using Anti-Social Forces to seek illicit profits for themselves or a third party or to cause harm to a third party.
   (4) Having a relationship that is deemed to be providing funds or benefits to Anti-Social Forces.
   (5) Having an officer or a person substantially involved in management who has a socially reprehensible relationship with Anti-Social Forces.
2. If it is discovered that either the Company or a User or their agents or intermediaries correspond to Anti-Social Forces or any of the above categories, the other party may immediately terminate this contract without any prior notice.
3. If this contract is terminated pursuant to the previous clause, neither party shall be liable for any damages incurred by the other party due to the termination.
Article 22 (Entire Agreement)

These Terms constitute the entire agreement between the Company and Users regarding the matters contained herein, and shall supersede any prior agreements, representations, or understandings between the Company and Users, whether oral or written, regarding the matters contained herein.
Article 23 (Severability)

If any provision of these Terms, or a portion thereof, is deemed invalid or unenforceable under the Consumer Contract Act or other applicable laws, the remaining provisions of these Terms, and the remaining part of any provision that is determined to be invalid or unenforceable, shall continue to be fully effective.
Article 24 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan, and any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo Summary Court or the Tokyo District Court as the court of first instance, depending on the amount in dispute.
Article 25 (Resolution through Consultation)

If there is a dispute regarding a matter not stipulated in these Terms or any doubts arise regarding the interpretation of these Terms, the Company and Users shall promptly resolve any problems through mutual consultation in good faith.
